Commander Atkinson gave his report and noted it was in the Business Agenda booklet (see Appendix A). 10. Motion was made and seconded to adopt the minutes from the 2010 115th Annual Reunion. Motion passed (see Appendix B). 11. Division Adjutant Jim Strickland, Sr. gave his report (See Appendix C). He reported the financial status of the Division is good. The optional giving program has been a success. The Division has lost approximately 200 members over last year. We had 22 new Life members and 100 delinquent members were reinstated. The last fiscal year saw the Division acquired 127 new members. Adj. Strickland recognized Camps 255, 1748, 1862, and 1969 for retaining 100% renewal of camp membership. Adj. Strickland recognized Camp 1681 for maintaining 100% of their membership 2 years in a row and increasing their membership. 12. Motion made and seconded to adopt the 2011-2012 Fiscal Year Budget. Motion passed. 13. The election of Division officers was held. (See Appendix D for results) 14. Vice-Chairman of the Combined Boards of Beauvoir Ed Funchess with Commander Bill Atkinson conducted the election for the Beauvoir Board of Directors. Motion was made and seconded to reelect Richard Forte, Sr. to the Beauvoir Board of Directors. Motion passed. Vice Chairman of the Combined Boards of Beauvoir Ed Funchess placed before the members present the name of Glenn Taylor as recommended by the Beauvoir Board of Directors to be reelected to the Beauvoir Board of Trustees. Motion was made and seconded to accept the Beauvoir Board of Directors nomination and reelect Glenn Taylor as a Trustee. Motion passed. 14. Committee Reports: 1. Past Division Commander Larry McCluney gave a report on the Bricks for Beauvoir program. He stated that more bricks need to be sold and encouraged everyone to purchase one or more. 2. Save the Battleflags committee report was submitted by Jim Huffman and read by Chief-of-Staff Ed Funchess. The report was accepted by the members present (See Appendix E). 3. 2013 National Convention report was given by 1Lt. Cmdr. Alan Palmer. The report was accepted by the membership. It was reported that activity for the convention will be picking up next year. 4. Sesquicentennial Committee report was given by 1Lt. Cmdr. Alan Palmer. The report was accepted by the membership. He stressed the need to educate our own Southern people about the truth. The plan is to hold a Division event every year of the sesquicentennial. For 2012 the plan is to hold a symposium in Jackson. Date and time will be announced later. 5. Mississippi Shiloh Monument report was delivered by Col. W. P. Rogers Camp Commander Buddy Ellis. Commander Ellis passionately asked every member, camp and brigade to begin raising funds to support this effort. Motion was made and seconded to appropriate $423 of Division funds to assist with the Shiloh Monument brochure printing expenditures. Motion passed. 15. Brigade Reports Motion was made and seconded to dispense with the reading of the reports as they are printed in the Convention Annual Report booklet. Motion passed. 16. Beauvoir Report Acting Director Rick Forte, Sr. gave the report on Beauvoir and brought everyone up to date on the construction and need to find revenue for when the Jefferson Davis Presidential Library and Museum opens (See Appendix F). The report was accepted by the members present. For details at Beauvoir visit www.beauvoir.org. A discussion was opened on revenue from the 2011 Beauvoir vanity license plate being given to Beauvoir. The membership decided on a course of action. Motion was made and seconded to divert 50% of the revenue derived from SCV car tag sales from Jan. 1, 2011 to Dec. 31, 2011 to Beauvoir. Motion passed. 17. Motion was made and seconded to amend the current budget to allow for the disbursement of the $423 approved earlier for the Shiloh Monument brochure printing. Motion passed. 18. Tim Cupit, Commander of the Rankin Rough and Readys Camp gave an update on the 117th Mississippi Division SCV Annual Reunion to be held in Brandon, MS. Everyone was encouraged to register early and Commander Cupit stated he hoped to visit every camp to encourage early registration with special incentives. 19. Earl McCowan, Chairman of the Time and Place Committee gave the following information on upcoming annual meetings. 2012 - Rankin Rough and Readys Camp, Brandon, Mississippi; 2013 - Lowry Rifles Camp, Pearl, Mississippi; 2014 - Col. W. P. Rogers Camp, Corinth, Mississippi. Any camp wishing to host the 2015 Division Annual meeting should contact Compatriot McCowan. 20. BYLAWS REPORT Carl Ford led the discussion on the bylaws changes in Chairman Greg Stewart's absence. Motion was made and seconded to accept the current bylaws changes. Motion passed. (See Appendix G). 21. Resolutions were read at the banquet by Commander Atkinson (See Appendix H). 22. Benediction given by Division Chaplain John Flippin. 23. Gentlemen of the Great Mississippi Division!. As I prcpare to depart the office of Commander it is with great pleasure that I report the accomplishments of our Division throughout the past year. I have been honored to attend numerous Camp meetings throughout our State and I thank you for your graciousness and hospitality in those visits. I have attended memorial services and headstone dedications throughout the state, and significant memorial events in Quitman, Corinth, and Vicksburg, where the Kentucky Division dedicated a beautiful memorial to Kentucky Confederate Soldiers. I have visited Camps in all of the Brigades and have been encouraged by your continuing dedication to our ancestor's memory. Last year's National Convention was extremely important for the Mississippi Division, where, under the leadership of Alan Palmer and his team, the national membership resoundingly approved the National Convention site for 2013 in Vicksburg, a truly crowing achievement for our Division. Also at our Anderson Convention, it was with great pleasure that Past Commander, Ed Funchess presented his daughter, Megan, who was selected as a Debutante. I have attended and chaired our scheduled Executive Council meetings where your collective efforts and enthusiasm as our Division leadership have really paid off in innumerable ways, to include flag restoration, car tag design implementation and planning for the various Sesquicentennial events, our forthcoming National Convention and Beauvoir restoration. I have attended several out of state events to stir fund raising for Beauvoir, including the Civil War Roundtable, who awarded Beauvoir its "Vandiver Preservation Award", and the widely-attended Heritage Ball in Houston, Texas. We were finally able to obtain our proclamation for 'Confederate Heritage Month’ from our Lieutenant Governor. We are indebted to Phil Bryant for his involvement in obtaining this important recognition. During Confederate Memorial Day at Beauvoir, we joined with the United Daughters of the Confederacy in dedicating a most beautiful reconstructed UDC Arch at the Confederate Cemetery there. I depart this office with unfathomed humility in having served such great compatriots and brothers-in-arms in the Mississippi Division. I am grateful for your service both to me and alongside me as your Commander, and more importantly, to your beloved Confederate ancestors. I share with you the pride in our accomplishments in restoring our precious flags, in celebrating our Sesquicentennial, in hosting a National Convention, in restoring Beauvoir, in preserving our heritage, and in all your efforts to honor our ancestors. Division Adjutant Jim Strickland, Sr. gave his report. He stated membership is down by 20% and this is due to several camps being delinquent or not renewing. Currently membership stands at 1,216 of which 52 are Life Members. SCV car tag revenue is down by 18.5%. 11. Division Adjutant Jim Strickland, Sr. presented the budget for the upcoming fiscal year beginning Aug. 1st, 2010. a. Motion made and seconded to adopt the 2010-2011 Fiscal Year Budget. Motion passed. b. Motion made and seconded to accept the Division Adjutant's report. Motion passed. 12. Committee Reports; a. Save the Battle Flags Committee report given by Jim Huffman, Chairman. Wallace Mason, Chairman Beauvoir Board of Trustees, gave a report on the Beauvoir Memorial Day Service and the dedication of the new Jefferson Davis statue. 13. BYLAWS REPORT Greg Stewart recommended that the proposed Bylaws changes be voted on all at one time since the changes were mainly clarification and editorial. There were five recommended changes to the Bylaws. Proposed Bylaws changes can be accessed from the Spring 2010 Issue of the Jeff Davis Legion or on the Division website. Greg proceeded to explain the changes giving the rationale behind the recommended change. It was asked by the membership that a report be presented at the 2011 Annual Meeting on Article 5 Section 9 concerning the management of the SCV Life Membership Endowment Fund. The Bylaws changes as voted on by the membership: ARTICLE 1 -- ORGANIZATION, NAME AND LOCATION is replaced with the following: Section 1 --
The style and title of this organization shall be
the Mississippi Division, Sons of
Confederate Veterans, a.k.a. Mississippi
Division, United Sons of Confederate
Veterans, an unincorporated association of
Members, hereafter referred to as the
"Division" and shall be comprised of all
members of all Camps of the
Sons of Confederate Veterans
within the geographic boundaries of the
State of Mississippi.
The Division shall be divided into five geographic Brigades, each brigade represented by an Elected Brigade Commander and an Elected Brigade Councilman whose qualifications shall be as defined in Article 17 Section 2 and whose duties shall be as defined in Article 18 Sections 5 & 6. The First Brigade shall encompass the counties of: Bolivar; Carroll; Coahoma; Desoto; Grenada; Lafayette; Leflore; Marshall; Montgomery; Panola; Quitman; Sunflower; Tallahatchie; Tate; Tunica; Washington and Yalobusha. The Second Brigade shall encompass the counties of: Alcorn; Benton; Calhoun; Chickasaw; Clay; Itawamba; Lee; Monroe; Pontotoc; Prentiss; Tippah; Tishomingo; Union and Webster. The Third Brigade shall encompass the counties of: Adams; Amite; Claiborne; Copiah; Franklin; Hinds; Holmes; Humphreys; Issaquena; Jefferson; Lincoln; Madison; Pike; Sharkey; Warren; Wilkerson and Yazoo. The Fourth Brigade shall encompass the counties of: Attala; Choctaw; Clarke; Jasper; Kemper; Lauderdale; Leake; Lowndes; Neshoba; Newton; Noxubee; Oktibbeha; Rankin; Scott; Simpson; Smith ;and Winston. The Fifth Brigade shall encompass the counties of: Covington; Forrest; George; Greene; Hancock; Harrison; Jackson; Jefferson Davis; Jones; Lamar; Lawrence; Marion; Pearl River; Perry; Stone; Walthall and Wayne. Section 2 -- The Headquarters are located in the War Memorial Building, Jackson, Mississippi. The location of the Headquarters Office may be changed at the discretion of the Executive Council, following a thirty (30) day written notice given to all Camp Commanders and Adjutants. The Executive Council may also establish other offices as it may deem necessary, provided that the above procedure is followed. Section 3 -- Correspondence should be addressed to the Division Commander or other appropriate Division Officers, whose contact information shall be published on Division website. Article 4, New Section 2:
An active
Camp in the Mississippi Division is one that has a
minimum of seven members in good standing in
the Confederation and Division and which
meets a minimum of four (4) times
annually.
Article 4, New Section 3:
A Member
shall not be considered in good standing until all
applicable Confederation, Division, and Camp dues
and fees are received and approved. Also, a Member
in good standing with an active Camp within the
Division not requiring the payment of Camp dues or
fees, the Camp Adjutant shall provide proof
of the member's status in the Camp.
Article 5 Section 9 is replaced with:
Funds
generated through Life Membership qualifying
contributions as delineated in Article 4 Section 4
Paragraph C shall be deposited in an insured
irrevocable trust entitled the Mississippi SCV
Life Membership Endowment Trust. Such trust shall
be managed by a financial institution licensed to
do business in the State of
Mississippi. There shall be five Mississippi SCV
Life Endowment Fund Trustees, one appointed by
each Brigade Commander from the Division list of
life members and confirmed by a 2/3 vote of the
Division Executive Council, who shall serve as
stewards of the Fund being charged with promotion
and protection of the Life Membership program. The
term of each Trustee shall be for two years,
concurrent with other elected and appointed
officers of the division. Trustees shall
have no limit to term of office
so long as they are reappointed by
the succeeding Brigade Commander(s) and
reconfirmed by a 2/3 vote of the Executive
Council. In addition to being a Mississippi
Division Life Member, trustees must meet all other
qualifications outlined in Article 4.
The goal of the program is for the trust to grow to the point where the income produced will sustain the Division’s basic operating expense. The principal of such trust shall not be reduced for any purpose, however income generated in a current fiscal year may, upon 3/5 majority vote of the Executive Council and a majority vote of the trustees, be used to alleviate a budget deficit for that fiscal year. Should the Mississippi Division or its successor be dissolved this trust shall be transferred to Beauvoir and endure to the benefit thereof. Article 17, New Section 2:
All candidates seeking an elected office in the
Mississippi Division shall meet the following
qualifications:
Article 17 Section 4 Delete
and replace with:1. Shall be a Member in good standing with the Mississippi Division as defined in Article 4, Section 3; 2. Shall be a Member of an active Camp within the Mississippi Division as defined in Article 4, Section2; 3. For the position of Commander and 1st Lieut. Commander: in addition to 1 & 2 above, the candidate shall have served one term as an elected Mississippi Division Officer prior to being nominated. 4. Candidates for the position of Brigade Commander and Brigade Executive Councilman, in addition to 1 & 2 above shall meet the requirements as stated in Section 2 of this Article. Division Staff Officers delineated in Article 19, Sections 1 through 9 shall be nominated by the Division Commander and confirmed by the Executive Council. Article 17, Section 5: Renumber existing Section 5 to Section 6 and add new section 5: All appointees to the Division Staff shall be members in good standing of the Mississippi Division and an active Camp in the Mississippi Division. Add a new Section 7 to Article 17 to read as follows: Should at any time during the term of a Division Officer, elected or appointed, his Camp fails to qualify as an "Active Camp" in the Mississippi Division, he shall have the opportunity to transfer his membership to an Active Camp in the Division within 90 days of the determination his Camp is defunct. Failure to do so will mandate his resignation from the office he holds." Motion was made and seconded to accept the changes to the edited Bylaws. Motion passed. 14. Heritage Education and Defense Committee Jim
Strickland, Jr. recognized the camps that were
successful in placing posters in all the
schools within the counties of their
jurisdiction. Plans are underway for next year's
poster. It should be shown in the Fall Issue of
the Jeff Davis Legion. A suggestion was made to
make reference to highlight a black Confederate to
assist with placement of posters in the public
schools.
Motion was made and seconded to proceed
with posters for 2011 Confederate Heritage and
History Month. Motion
passed.15. 4th Brigade Commander Louis Foley gave a report on the Confederate cemetery vandalism in Quitman and Enterprise. Investigations
are ongoing at this time with a reward being
offered to find the perpetrators. Boy Scout Troop
#40 from Meridian, Mississippi volunteered to
clean the Quitman Cemetery. A marker company from
Meridian cleaned the Enterprise Cemetery.
Motion
was made and seconded to appropriate $600.00 to buy
some flags to replace those at the Quitman
Cemetery and reward the Boy Scout Troop for their
work. It was decided to provide $350.00 to purchase
flags and donate $250.00 to Boy Scout Troop #40 in
Meridian. Motion

Commander Atkinson gave a report on the McClaren case. Kirk Lyons, lead attorney for the case, and recommended that the case not be pursued due to the lack of funds necessary to continue the case and the real possibility of not winning. Motion was made to close out the McClaren case and pay off any debts owed on this case. Motion passed. 18. Earl McCown gave a report on future Annual Meetings. The Lowry Rifles Camp in Pearl will host the meeting in 2011. The Rankin Rough and Readys Camp in Brandon will host the 2012 meeting. No one has been identified to host the 2013 meeting as of yet. 19. 1st Lt. Commander Alan Palmer gave a report on the 2013 National Convention and the effort to hold this meeting in Vicksburg. He gave all Brigade Commanders present a copy of the book, Vicksburg Campaign, driving tour guide. This book is to be passed to the next Brigade Commander. 20. Our cash position is still good with slightly
over six figures in the bank; however the greatest
majority of these funds are earmarked for
battleflag restoration, bricks for Beauvoir, a
reserve to fight any Heritage violations and the

We received slightly over $7,500 in our optional giving program. Of course all of these funds are for various Division and none for operating expenses. The approximately three thousand dollar cost of the Membership renewal invoicing and optional giving program is a part of the operating budget. Budget Mainly because of a misfortune our 2009 budget ended well into the black. We were unable to find an operable envelope stuffer for our membership invoicing so a few relatives were “volunteered”. All other expenditures were inline with the budget. Our 2010 budget (fiscal year ending July 31, 2011) is, thus far, within budget limitations but one must remember that the great majority of our expenditures occur between now and July 31 so we must continue to be vigilant of our expenses. With the Sesquicentennial upon us and the 2013 Reunion to be in our division it will be necessary that we budget for both of these events. This may cause a deficient budget in the forthcoming years causing us to dip into our operating reserve funds. A goal easily obtained. Kudos to camps 255, 1681, 1748, 1862 and 1969 who reregistered 100% of their members. Double kudos to Camp 1681 who, for the second year, has reregistered 100% of its members. Six other camps, while not retaining all their members, have increased their membership. Delinquent Camps Thanks goodness we have not had a repeat of last year when we lost five camps. This year we have lost only Camp 1726 which has paid no division dues. Life Membership We have added twenty-two life members, two joining as Life Members and two others from other divisions joining us as associate Life Members. Our Life endowment fund is now slightly into six figures. We need to protect this endowment by creating an irrevocable trust as provided in our bylaws. Commemorative cup sales have been good (about $1600) almost double our cost of acquisition. We must remember however that when we pay for the flags that are now at the restorers or earmarked for restoration it will deplete this fund until we accumulate more from tag and cup sales. Our investment income has been reduced substantially because of the current economic condition creating reduced interest rates. Where we have been getting 4 to 5% on certificates of deposit the market now is between .5 and 1%; we have been getting 1+% on our money market we now are getting only 0.1% or less. Our investment income will be farther reduced as build Bricks for Beauvoir, continue restoring flags, support the sesquicentennial and planning for our 2013 National Reunion. Appendix E Save the Battleflags Committee Report 2011 MS Division Convention I bring you greetings from your Save the Battleflags Committee, which has had another "banner" year, if you will pardon the intended flag pun. In spite of the economy, we have had better-than-expected cup sales. Briefly, this year, your STBF Committee: 1) Put into the hands of the STBF "sales force" (i.e., the STBF Committee. plus the Members of the Division Executive Council) new STBF flyers for distribution in promotion of the Following Division programs: STBF cups, MS SCV car tags, and the Bricks for Beauvoir program. Of course, it is not financially feasible for me personally to make several thousand copies of these flyers. So, if anyone needs a new "master" copy for any of these flyers for these programs, please see me or email me. 2) Issued in January 2011 (via a 'round-the-Division. 1100 mile whirlwind cup delivery tour!) two new cup patterns, one for the "Liberty Guards" of the 22nd MS Infantry (1st National Pattern) and one for the "Lamar Rifles" of the 11th MS Infantry (presentation side of a Magnolia-pattern flag). (NOTE: Comdr. Don Wright should have these cups available for purchase today.) • Permanent lighting around Beauvoir House has been awarded to Chain Electric Co. in Hattiesburg. The Cost is $21,500.00. • Front porch decking is still a problem. Boards are being replaced due to rotting in front and on the back. Steps also need repair due to stress and wear. II. Jefferson Davis Library and Museum • The contractor is behind schedule due to the complexity and amount of concrete. The architect says November 2011 is the completion date. III. The Kitchen Replica • We are still waiting on FEMA and MEMA approval. IV. The UDC Archway • The unveiling was held on Confederate Memorial Day for the Mississippi Division SCV, April 30, 2011. See our website at www.Beauvoir.org V Fall Muster • Fall Muster was held the third weekend of October 2010. The event was well attended and the weather was perfect. See website for more details. VI. Beauvoir Website • The website is updated monthly. We have had 267,519 visitors to the site since 2008. VII. Jefferson Davis Birthday Party • The annual birthday party for President Davis was held on June 3, 2010 for his 202nd birthday. We had a Confederate living history on the grounds and two birthday cakes were enjoyed by a good crowd. VIII. Media • We continue to have good media coverage for Beauvoir, IX. Beauvoir Board of Directors Don Barrett had raised $500,000.00 to build a new catering kitchen that will look like the original Forman's House behind Beauvoir. This kitchen will be a great asset to Beauvoir's future. Don's law firm also settled with B.P. over the loss of revenue totaling $43,000.00. There was no fee for this law suit. X. Audit The U.S. Department of Homeland Security audited FEMA/MEMA funds provided to Beauvoir. Result to take back ½ million dollars. Over the past year Beauvoir has had 27,763 paid visitors which is about 15% less than last year. We have shown a decline each month since the BP Oil spill in the Gulf and the related news media coverage. Before Katrina we had over 60,000 per year. We did receive a settlement with BP of about $42,000. We are hoping that the opening of the new Presidential library will bring in more visitors. Our Gift Shop sales for the past year were $133,271 with a gross profit of $56, 598. This is about 16% down from last fiscal year. Our Admissions were $228,342 or 7% down. Other income, which includes donations, our state grant, the cell tower and golf course property leases as well as other miscellaneous items, totaled $217,543 giving us a total earned income of$502,483. Our expenses for the same period were $667,932 which is a loss of$165,449. This is money that we had to use from savings and insurance proceeds which is designated for other purposes. We must increase our donations by joining and encouraging others to join our Friends of Beauvoir program. As you all have probably seen, our new Presidential Library and Museum is coming along slowly but surely. FEMA is paying for most of the cost of this project but we still need help, not only in the building cost but in furnishing it along with ongoing expenses. Designing and building the artifacts display is going to cost another $1.5 million. This has to be done and must be started now while the building is under construction. Another cost that we must face is the insurance on this building. Estimates are over $75,000 per year just on this building. The new lighting around the Beauvoir Mansion should be installed by the end of this month. Chain Electric of Hattiesburg will be doing the job putting in ground lights on each side and in the front. These should light up the building and we can remove the ugly poles that are in front of the house. FEMA will fund the cost of this project. Our plans to build the Kitchen replica behind the Mansion (which will actually be public restrooms) is still going forward and is in FEMA's hands waiting for approval. They are going to cover this cost. We are hoping to go out for bids soon. We are still working with a short staff and the current employees are taking up the slack to a point of frustration. When the new JDPL is finished we are going to have to figure a way to afford more people or get more volunteers. Attached is a spread sheet showing all our cash assets as of May 16. We still owe over $3.7 million on the new JDPL. FEMA is going to give us approximately $1.6 million more as the job progresses and an additional $500,000 when it is all closed out, which may take another year or more. That leaves us with a balance of $2.1 million plus $1.5 million for the museum designer. As you can see, our assets equal $3.263 million but some of that is restricted and some has to be saved for operations. Bottom line, we need over One Million dollars and that would be using almost everything we have in savings. Richard V. Division Officers, Qualifications and Term LimitsRationale: This is what Article 17 is addressing. Article 17, Sec. 2 - Add new item 1) The Commander, 1st Lt. Commandeer and 2nd Lt. Commander are limited to two (2) terms in their respective office and these terms may be consecutive: 2) The Adjutant has no limit to terms in office and all may be consecutive; 3) Brigade Commander and Brigade Councilman are limited to three (3) terms in office and these terms maybe consecutive. Rationale: This will establish term limits for all offices except the Adjutant. Article 17, Sec. 2 - Add new item Shall not at the time he is Commander serve as an elected or appointed member on either of the Beauvoir boards. If he is a member of either board, he must resign before announcing and running as Commander. If elected, he shall serve as an ex officio member of the Board of Trustees during his term as Commander. Upon completion of his term as Commander he may be nominated to serve on either Beauvoir boards again. Rationale: Item 11 is a qualification and a limit for a candidate for the office of Commander and is better suited in Article 17. Article 18, delete all references to term limits and qualifications to run for an office.
